The limitations of liability set forth above are fundamental elements of the basis of the bargain between Wing Snob and you. The services would not be provided without such limitations, and the parties acknowledge that the limitations of liability in this section shall apply notwithstanding any failure of essential purpose of any limited remedy.

You agree to defend, indemnify, and hold harmless Wing Snob and its respective officers, directors, employees, agents, contractors, licensors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Subject to the dispute resolution provisions below, you agree that any legal action or proceeding arising out of or relating to these Terms or your use of the Website shall be brought exclusively in the federal or state courts of competent jurisdiction located in the United States, and you hereby irrevocably consent to the personal jurisdiction and venue of such courts.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply to these Terms.

14. Dispute Resolution

14.1 Informal Resolution

The arbitration shall be conducted under the rules of the American Arbitration Association (AAA) Commercial Arbitration Rules, as modified by these Terms, and shall take place in the United States.

The arbitrator shall have authority to award the same damages and relief that a court of competent jurisdiction could award, but shall not have authority to conduct a class action or consolidate separate proceedings. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

14.3 Class Action Waiver

YOU AND WING SNOB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. Further, unless both you and Wing Snob agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

14.4 Exceptions

Notwithstanding the foregoing arbitration agreement, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use the Website or maintain an account with Wing Snob. Either party may terminate the agreement created by these Terms at any time.

Wing Snob may, in its sole discretion and without liability to you, suspend or terminate your account and access to the Website at any time, for any reason, including but not limited to:
